Alterr Works Consulting offers business transformation consulting, project management, and advisory services tailored to meet the specific needs of organizations. The scope, timeline, and fees of services will be defined in separate written agreements or contracts with each client.

2. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to comply with these Terms. Additional terms may apply to specific services or engagements, and in such cases, will be outlined in the relevant contract.

3. Client Responsibilities

Clients engaging our Services agree to:

• Provide accurate information and any required resources to facilitate effective service delivery.
• Designate a primary point of contact for coordination and communication.
• Ensure timely payment of fees as outlined in the relevant service agreement.

4. Intellectual Property Rights

Ownership: Alterr Works Consulting retains all rights to methodologies, techniques, tools, templates, and intellectual property created or used in the course of providing Services.

Limited License: Subject to payment of applicable fees, clients may use deliverables for internal purposes only, as permitted under the terms of each service agreement.

Restrictions: Clients may not modify, distribute, or sell any materials provided by Alterr Works Consulting without prior written consent.

5. Confidentiality

Both parties agree to keep all proprietary and confidential information exchanged during the course of engagement confidential. This includes, but is not limited to, client business strategies, trade secrets, intellectual property, and any other sensitive information.

6. Limitation of Liability

• Alterr Works Consulting will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our Services.
• Our total liability for direct damages, if any, will be limited to the fees paid by the client for the relevant Services within the 03 months preceding the claim.

7. Disclaimers

Alterr Works Consulting provides Services on an “as is” basis. We do not make any warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose. The results of consulting services depend on multiple factors beyond our control, including client adherence to recommendations.

8. Termination

Either party may terminate the Services:

• By Client: Clients may terminate services in accordance with the terms set forth in the specific service agreement.
• By Alterr Works Consulting: We reserve the right to terminate services if the client breaches these Terms or fails to meet contractual obligations.
• Effect of Termination: Upon termination, all outstanding fees will become immediately payable, and both parties will continue to honor confidentiality obligations.

9. Fees and Payment

Service fees, payment schedules, and billing terms will be outlined in each client’s service agreement. Failure to pay fees on time may result in suspension of Services until payment is received. All fees are exclusive of applicable taxes, which will be the responsibility of the client.

10. Indemnification

Clients agree to indemnify and hold Alterr Works Consulting harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from their use of our Services, breach of these Terms, or violation of any applicable laws.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Uttar Pradesh, India.

12. Changes to the Terms

Alterr Works Consulting reserves the right to modify these Terms at any time. Any changes will be effective upon posting on our website or as otherwise communicated. Your continued use of our Services following any such modification constitutes acceptance of the revised Terms.
