Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of services provided by Alterr Works Consulting (“we”, “us”, “our”), a sole proprietorship firm registered in India and operating in the domain of Organizational Change Management (OCM).

By engaging with our services, visiting our website, or entering into an agreement with us, you (“Client”, “you”, or “your”) agree to these Terms.

1. Services

We provide consulting services including but not limited to change management strategy, communications, stakeholder management, training, organizational readiness, and business transformation support.

The scope, deliverables, timelines, and fees for any engagement will be clearly defined in a mutually agreed Statement of Work (SOW), Proposal, or Engagement Letter.

2. Engagement Terms

• Engagements commence upon acceptance of the proposal and signing of agreement documents.

• All deliverables will be tailored to client requirements, subject to timelines and resource availability.

• Unless otherwise agreed in writing, all consulting services are delivered remotely.

3. Fees and Payment

• Fees are exclusive of applicable taxes (GST, etc.) as per Indian tax laws.

• Payments are due as per the invoicing terms specified in the agreement (typically within 15–30 days of invoice date).

• Delayed payments may attract interest as per the terms in the invoice or agreement (typically 1.5% per month).

4. Confidentiality

Both parties agree to maintain confidentiality of all proprietary or sensitive information shared during the course of the engagement. This obligation continues for a period of one (1) year after project completion unless otherwise stated in a separate NDA.

5. Intellectual Property

• All pre-existing intellectual property and frameworks used by Alterr Works Consulting remain our sole property.

• Deliverables developed specifically for the client may be owned by the client post full payment, subject to the terms of the engagement.

• You agree not to replicate, modify, or distribute our proprietary materials without prior written consent.

6. Limitation of Liability

To the fullest extent permissible under Indian law, our liability is limited to the amount paid by you for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages arising from the use or reliance on our services.

7. Termination

Either party may terminate the engagement by providing written notice of 30 days. Upon termination:

• Work completed up to the date of termination shall be invoiced and paid.

• All confidential materials must be returned or destroyed.

• Any licenses or access provided will be revoked.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles. In case of disputes, the parties agree to submit to the exclusive jurisdiction of courts in Ghaziabad, India.

9. Amendments

We reserve the right to amend these Terms at any time. Any such changes will be communicated via email or updated on our website. Continued use of our services after such updates will constitute acceptance of the modified terms.

10. Force Majeure

We shall not be held liable for any delay or failure to perform obligations due to causes beyond our reasonable control including, but not limited to, acts of God, natural disasters, pandemic, war, or governmental actions.
